Membership Agreement |

| 1.Overview |
| |
FishChain.com is the e-Marketplace which intermediate
transactions of goods or relating services between members,
at the same time, it also means operator of the e-marketplace.
This Legal Agreement prescribes the usage of the Global B2B
Internet Service provided from Marine Digital Inc. Any person
who wants to access this site to buy, sell, bid for goods or
to use the other services we provide must agree to the terms
and conditions of this Legal Agreement. Read the following terms
and conditions carefully before using this site. By using or
accessing this site, you admit that you have read and accepted
these terms and conditions, therefore, this Membership Agreement
will bind you. If you have any question concerning these terms

| 2.Modification of Membership Agreement |

This Membership Agreement is posted on our Web
Site (www.FishChain.com), and it is part of the contract to
use of service between FishChain and members. FishChain may
amend this Agreement at any time by posting the amended terms
and conditions on its site and all amended terms and conditions
shall automatically be effective in 7 days after those are initially
posted on its site. You are responsible for reviewing the notice
and any applicable changes. Changes to referenced policies and
guidelines may be posted on our site without notice to you.
You can continue using our service by accepting such changes
or modifications. You can raise an objection to the changed
or modified terms and conditions, however, you have to cancel
the contract to use our services until applicable date of the
changed or modified terms and conditions in case of you do not
agree to the changes or modifications.

| 3.Changes or Discontinuance of the Services

FishChain may change, add or remove some of services
it provides at any time without notice just by posting the amended
or removed services on its site. The service may be discontinued
temporarily owing to circumstances beyond control like repairing
or checking of facilities. In these cases, FishChain will notice
the causes to the members by posting on its site or by sending
e-mail to the members. FishChain does not pay for any damage
due to change or temporary discontinuing of the members.

| 4.Membership Eligibility |

To be a member of FishChain, you should agree
to this Membership Agreement, and then fill in the information
about yourself on the member registration form. Then, every
user has to be a person who is able to form legally binding
contracts under applicable law. FishChain does not permit membership
registry in cases of: he/she made a false description on his/her
user registration form or he/she is not appropriate to do his/her
business on the Web Site of FishChain. Members should report
to us and modify if there were something to change about their
user information. FishChain is not responsible for any damage
you got because you do not report to us and modify the changed
information.

| 5.Withdrawal or Disqualification of Membership
|

When a member requests withdrawal his/her membership,
FishChain complies with the request immediately. To do so, however,
he/she has to submit a written notice include his/her ID and
user password to quit to FishChain by e-mail or fax, etc. To
withdraw his/her membership, in addition, a buyer has to delete
his/her purchase order from the list and a seller has to delete
his/her sale order. It, however, does not matter in case of
already closed order. FishChain can deprive the user of all
his/her right as a member of FishChain in cases of: he/she made
a false description on his/her member registration form, he/she
discharged his/her obligation without a just cause, he/she interrupt
the service of FishChain, he/she violates a law, agreement,
good public order and custom, he/she applied the information
or data from FishChain to the third party for other purpose,
we decide that he/she is not appropriate doing his/her business
on this Site. In those cases, of course, we will notice the
reason to him/her and give an opportunity him/her to excuse
himself/herself. Then, FishChain erases all of information include
his/her member registration form.

| 6.Transactions |
| |
Both a buyer and a seller have whole responsibility
for the contract between themselves, though the contract has
been concluded in FishChain. If you are the winning bidder at
the end of an auction and the seller accepts your bid, you are
obligated to complete the transaction with the seller unless
the transaction is prohibited by law or by this Agreement. A
buyer should not revoke the contract with a seller just except
in cases of: the goods are prohibited by law or this Agreement,
the sellerĄ¯s goods changed materially as compared to the item's
description after you bid, there is a clear typographical error
with the goods or you cannot authenticate the seller's identity.

| 7.Purchase |

Every user who wants to buy goods or relating
services at FishChain should request purchase according to the
procedure form provided from FishChain. If there were serious
damage because a buyer made a false description on his purchase
form, the buyer had whole responsibility for the damage both
of the buyer and the seller. If a buyer wants to cancel his
purchase order, the buyer should follow the procedure provided
from FishChain. If a buyer made a successful bid with a seller,
the buyer has to place an order for goods or services. When
a buyer gives an order to a seller, both the buyer and the seller
are responsible for all the process about their contract. FishChain,
therefore, is not involved in the transactions between the buyer
and the seller. FishChain can deprive the buyer of all his right
as a member of FishChain in cases of: he/she canceled an order
for bid without any just cause, he/she does not receive the
goods knocked down, he/she refuses payment for goods what he
received, etc. If FishChain received any damage by inappropriate
behavior of a buyer, we could claim against the buyer or his/her
company.

| 8.Sale |

Every user who wants to sell goods or relating
services at FishChain should request sale according to the procedure
provided from FishChain. If there were serious damage because
a seller made a false description on his sale form, the seller
has whole responsibility for the damage both of the buyer and
the seller. If a seller wants to cancel his sale order, the
seller should follow the procedure provided by FishChain. If
a seller made a successful bid with a buyer, the seller has
to place an order for goods or services. When a seller gives
an order to a buyer, both the buyer and the seller are responsible
for all the process about their contract. FishChain, therefore,
is not involved in the transactions between the buyer and the
seller. FishChain can deprive the seller of all his right as
a member of FishChain in cases of: he/she canceled an order
for bid without any just cause, he/she does not send the goods
knocked down, he/she does not warrant the quality of goods what
he/she sold out, etc. If FishChain received any damage by inappropriate
behavior of a seller, we could claim against the seller or his/her
company.

| 9.Transaction Fee |

FishChain get a fixed commission for memberĄ¯s
successfully completed bid or usage of services from FishChain.
FishChain may change the amount or rate of commission if it
is necessary by posting the difference as compared to before
and the new amount or rate of commission shall automatically
be effective in 7 days after it is initially posted on the Web
Site. Moreover, the changed matters will be sent by e-mail to
all the members of FishChain. You are responsible for reviewing
the changed amount or rate of commission whenever you purchase,
bid or use any service, and so on.

| 10.Privacy Policy |

FishChain has a duty to protect memberĄ¯s information
and privacy. FishChain does not collect memberĄ¯s information
except he entered on application form by himself/herself. We
use the information just to improve our services. If you are
damaged because we provide your information to the third party
without your permission, we will hold our responsibility. We,
however, can use or provide your information to the third party
without your permission in cases below: Information for sending
good which is made by a successful bid Information that is indistinguishable
an individual just for a statistical research, science research
and a market survey, etc Information which is needed in accordance
with the related law Members can review their information and
request correction or deletion for the fault information. FishChain
corrects the mistakes on their information when the members
request that and does not use until the mistakes are corrected.
FishChain erases all of memberĄ¯s information in case of he/she
seceded his/her user membership from FishChain or the memberĄ¯s
information is useless on our site.

| 11.FishChainĄ¯s Role |

FishChain provides services of good quality continuously
and steadily. If there occurred some problem with the service,
FishChain restores to the original state rapidly and perfectly.
FishChain preserves in its effort to secure memberĄ¯s privacy.
FishChain has a duty to solve the dissatisfaction of our members
if it is justifiable. FishChain does not spare any effort to
provide services of the best quality.

| 12.Password Security |

Members are solely responsible for maintaining
the security of their password. You should not disclose their
password to any third party and you are wholly responsible for
any usage or action taken under your password on this site.
FishChain has not responsibility for any damage what is occurred
because a member discloses his password to others. If your password
is comprised you must report the fact to FishChain and change
your password through the deliberation with FishChain. You are
solely responsible for any damage what is occurred because you
do not report to FishChain.

| 13.Disclaimer of Warranty |

FishChain provides just a venue for buyers and
sellers to negotiate and complete transactions. FishChain is
not involved in the actual transactions between buyers and sellers.
As a result, we have no control over the quality, safety or
legality of the goods and services, the truth or accuracy of
the listings, the ability of sellers to sell goods or the ability
of buyers to buy goods. We cannot ensure that a buyer or a seller
will actually complete their transaction, too. FishChain does
not certify goods, services and information provided from any
linked sites.

| 14.Indemnity |

FishChain provides just a venue, so we are not
responsible for any transactions between buyers and Sellers
after a successful bid. FishChain disclaims all the responsibility
for providing services in case of it could not provide the service
by an irresistible force like the disturbances of the elements.
FishChain is not responsible for the problems by mistakes of
a memberĄ¯s own. FishChain is not responsible for any damage
of the members by interchange of information or services between
members themselves. And so forth, FishChain is also not responsible
for any damage that is occurred because you trust the accuracy
of information or data listed by other users.

| 15.Applicable Laws |

This Site and the services are arranged, provided,
or managed by FishChain.com in Seoul, Korea. Therefore, the
laws of the Republic of Korea govern all of its terms and conditions
in this Membership Agreement.
